1. Services & Deliverables

We offer IT services including, but not limited to, custom software development, website design, mobile application development, digital marketing, and professional training.

• Project Scope: All deliverables, timelines, and features will be strictly outlined in a formalized project proposal or agreement before work commences.
• Client Responsibilities: Clients are expected to provide necessary assets, approvals, and feedback in a timely manner to avoid project delays.
• Revisions: Scope changes requested after the initial agreement may be subject to additional billing and revised timelines.

2. Intellectual Property Rights

• Ownership: Upon receipt of full and final payment, the intellectual property rights for the custom-developed software, website, or marketing assets are transferred to the client.
• Pre-existing Code: Brightcode Software Services reserves the right to retain ownership of any proprietary codebase, frameworks, or open-source libraries used to build the product.
• Portfolio Rights: Unless under a strict NDA, we reserve the right to feature the completed project in our professional portfolio and marketing materials.

3. Payment & Billing Terms

To ensure smooth project execution, our financial agreements are structured as follows:

• Deposits: A non-refundable advance payment is required to initiate any project or training enrollment, as outlined in your specific contract.
• Milestones: Subsequent payments are tied to agreed-upon project milestones. Work on subsequent phases will begin upon clearance of milestone invoices.
• Late Fees: Failure to clear invoices within the stipulated time frame may result in a temporary suspension of services or late payment penalties.

4. Liability & Governing Law

While we strive for excellence and rigorous testing, software by nature may encounter bugs or require maintenance over time.

• Limitation of Liability: Brightcode Software Services Pvt. Ltd. shall not be held liable for any indirect, consequential, or data-loss damages arising from the use of our delivered software or services.
• Governing Law: These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka.
